Membership Subscription Terms & Conditions
Blue Chip Minds prides itself on the ethical standards it upholds and has established the following terms and conditions to ensure the interests of you our member are met during your membership/subscription duration.
1. These Terms of Subscription Service (“Agreement”) are entered into by and between the entity or person placing an order or accessing the services (“Client”) and Blue Chip Minds.
2. The “Effective Date” of this Agreement is the effective date of the first monthly installment / sign up for the membership service.
3. This Agreement permits Client to purchase a subscription to Blue Chip Minds Membership Services. This Agreement shall govern Client’s initial purchase as well as any future purchases made by Client that reference this Agreement.
4. Amendments
4.1 From time to time, Blue Chip Minds may modify this Agreement with seven (7) days’ notice to Client.
4.2 Unless otherwise specified by Blue Chip Minds, changes become effective for existing Clients upon posting of the modified Agreement.
4.3 If Client does not agree to such changes, Client must notify Blue Chip Minds of such disagreement within the seven (7) day notice period, and Blue Chip Minds (at its option and as Client’s exclusive remedy) may either: (i) permit Client to continue under the prior version of this Agreement until the next renewal of the current subscription term, after which the modified Agreement will apply (for example, if Client is on a monthly subscription, then the modified Agreement will apply starting from the beginning of Client’s next monthly subscription after it is posted) or (ii) terminate this Agreement and provide to Client a refund of any fees that Client already paid with respect to the terminated portion of the applicable subscription Term.
4.4 Blue Chip Minds will use reasonable efforts to notify Client of the changes through Client’s Account, email, or other means. Client may be required to click to accept the modified Agreement before using the services in a renewal subscription Term, and in any event continued use of the services during the renewal subscription Term will constitute Client’s acceptance of the version of the Agreement in effect at the time the renewal subscription Term begins.
5. Inclusions
5.1 The Client's monthly subscription includes all items listed on the product page at time of purchase, fee's are inclusive of taxes and transaction fees.
5.2 If the Client's membership includes Coaching; it is the Clients responsibility to book in their coaching session/s during their current subscription period. Coaching can not be 'banked' for future use and will be forfeited if not used prior to subscription renewal.
6. Payment and Pricing
6.1. Advertised prices are in Australian Dollars (AUD) and subject to change. Client's payment secures the advertised price for the current subscription term. Any subsequent offers, discounts, or increases will be applied on the next billing cycle, and the client will be given seven (7) days notice of any changes effecting their subscription service.
6.2. Upon receipt of the Client's first monthly payment and completion of subscription authority, access to the membership services will be granted to the client.
6.3 Payment is due prior to access to the membership services being granted and are non-refundable once membership access has been activated.
6.4 Cancellation of subscription / membership services can be affected by the client with seven (7) days written notice. Any unused services must be used before the current subscription period ends. Unused services will be forfeited if not used within a paid subscription period.
6.5 Upon cancellation Clients access to all services will be revoked at the completion of the current subscription period.

4.4 Blue Chip Minds will use reasonable efforts to notify Client of the changes through Client’s Account, email, or other means. Client may be required to click to accept the modified Agreement before using the services in a renewal subscription Term, and in any event continued use of the services during the renewal subscription Term will constitute Client’s acceptance of the version of the Agreement in effect at the time the renewal subscription Term begins.

7. Subscription Term and Renewals – Unless otherwise specified, each subscription Term shall automatically renew for an additional one (1) month period unless either party gives the other written notice of termination at least seven (7) days prior to expiration of the then-current subscription Term.
8. Suspension of Services
8.1 If (a) Blue Chip Minds has sent Client a payment reminder for an overdue payment, and Client fails to pay the amount due within seven (7) days after receiving such payment reminder, or (b) Client has conducted themselves inappropriately while in use of any element of the services provided (inappropriate behavior is at the discretion of Blue Chip Minds), then, in addition to any of its other rights or remedies (including but not limited to any termination rights set forth herein), Blue Chip Minds reserves the right to suspend Client’s access to the membership services and any related support, or Professional Services, without liability to Client, until payment has been made or in the case of inappropriate behavior, services will be immediately suspended.
8.2 Prior to suspending Client’s access, Blue Chip Minds will use reasonable efforts to provide Client with notice and a reasonable opportunity to resolve, unless Blue Chip Minds reasonably determines that such breach may cause harm to other clients or threaten the security or integrity of the services provided, in which case suspension may be immediate.
9. Agreement
9.1 The service provided to the CLIENT by Blue Chip Minds is Membership to an exclusive group and the services listed at time of sign up.
9.2 The CLIENT understands that Membership and the services provided is not advice; psychotherapy or counseling.
9.3 The CLIENT enters into the Membership with the understanding that they are responsible for managing themselves and creating their own results.
9.4 The CLIENT payment indicates acceptance of this agreement and compliance with the above requests, and understanding of the services provided.
9.5 The CLIENT shall indemnify and hold harmless BLUE CHIP MINDS and its associates from and against any damages and costs incurred as a result of using teh services.
10. Blue Chip Minds Responsibilities
10.1 Ensure all information provided by the CLIENT is be kept strictly confidential.
10.2 Always operate in a professional manner.
10.3 Avoid dual role conflict.
10.4 Avoid accepting money for referrals from any professionals that the Client may be referred to.
11. Consequential Damages Waiver – NEITHER PARTY (NOR ITS Licensors) SHALL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, RELIANCE, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS, ANY LOSS OF USE, OR INTERRUPTION OF BUSINESS), REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF INFORMED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE.
12. Liability Cap – NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT, EACH PARTY’S AND ITS LICENSORS’ ENTIRE LIABILITY TO THE OTHER PARTY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID OR PAYABLE BY CLIENT TO BLUE CHIP MINDS DURING THE PRIOR ONE MONTH UNDER THIS AGREEMENT.
Each party expressly agrees that this Agreement is legally binding upon it.
8. Suspension of Services
8.1 If (a) Blue Chip Minds has sent Client a payment reminder for an overdue payment, and Client fails to pay the amount due within seven (7) days after receiving such payment reminder, or (b) Client has conducted themselves inappropriately while in use of any element of the services provided (inappropriate behavior is at the discretion of Blue Chip Minds), then, in addition to any of its other rights or remedies (including but not limited to any termination rights set forth herein), Blue Chip Minds reserves the right to suspend Client’s access to the membership services and any related support, or Professional Services, without liability to Client, until payment has been made or in the case of inappropriate behavior, services will be immediately suspended.
